PropSync — Terms of Service

IMPORTANT: This is a starting draft, not final legal advice. Before you accept real customers or real payments, have this reviewed by a qualified lawyer familiar with your jurisdiction and your customers' jurisdictions (especially since you may have US-based customers while operating from Nigeria).

1. Agreement to Terms

By accessing or using PropSync ("the Service," "we," "us," "our"), operated by AGBAI CHINEDU KELVIN / PropSync, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

PropSync is a software service that connects third-party property management platforms (including but not limited to Guesty, Rentvine, Hostaway, and Buildium) to third-party accounting platforms (including but not limited to QuickBooks Online), for the purpose of automating the transfer of financial transaction data.

3. Accounts

You must provide accurate, complete information when creating an account.
You are responsible for maintaining the confidentiality of your account credentials.
You are responsible for all activity that occurs under your account.

4. Subscription Plans and Payment

PropSync offers subscription tiers (Starter, Pro, Enterprise) as described on our pricing page.
Subscriptions are billed on a recurring basis (monthly) through our payment processor.
You may upgrade, downgrade, or cancel your subscription at any time through your account dashboard.
Fees are non-refundable except as required by applicable law.

5. Third-Party Integrations

PropSync requires you to connect your own accounts with third-party services (property management platforms and accounting platforms). You are responsible for maintaining valid credentials/authorization with those third parties.
PropSync is not responsible for outages, API changes, data errors, or service interruptions caused by third-party platforms we integrate with.
Your use of those third-party platforms is governed by their own separate terms of service.

6. Data Accuracy and Financial Responsibility

PropSync makes reasonable efforts to accurately synchronize data between connected platforms, including automated safeguards against duplicate entries and mathematical mismatches.
However, PropSync is a data transfer and automation tool, not an accounting or financial advisory service. You remain solely responsible for reviewing and verifying the accuracy of your financial records.
We strongly recommend periodic manual review of synced data, especially during initial setup of any new integration.

7. Limitation of Liability

To the maximum extent permitted by law, PropSync and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service.

8. Service Availability

We aim to keep PropSync available and operating correctly but do not guarantee uninterrupted or error-free service. We may perform maintenance, updates, or experience downtime without prior notice.

9. Termination

We reserve the right to suspend or terminate your account for violation of these Terms, non-payment, or any activity that we believe, in good faith, is harmful to PropSync, other users, or third parties.

10. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the revised Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.
